Terms of Use

1Scope and Applicability

These Terms of Use (“Terms”) govern access to and use of the ImageMine internal digital media asset management platform (“Platform”), operated by the Imerys IT Department on behalf of Imerys S.A. and its group entities (“Imerys”).

These Terms apply to all individuals who access the Platform, including Imerys employees, contractors, consultants, and authorized external partners (“Users”). Access is strictly limited to individuals who have been granted authorization via the Imerys corporate identity management system.

2Authorized Access and Authentication

Access to this Platform is authenticated exclusively via the Imerys Single Sign-On (SSO) system, currently powered by Okta. Users must:

• Access the Platform only through their official Imerys corporate credentials.
• Never share their credentials, authentication tokens, or session identifiers with any other person.
• Never attempt to circumvent, bypass, or exploit the SSO authentication mechanism.
• Promptly notify the IT Helpdesk if they suspect their credentials have been compromised.
• Log out of the Platform upon completion of their session, particularly when using shared or public devices.

Imerys reserves the right to suspend or terminate access without prior notice in the event of suspected unauthorized use or a breach of these Terms.

3Acceptable Use Policy

The Platform is provided exclusively for legitimate, professional business purposes in support of Imerys' internal communications and media management workflows. Users are strictly prohibited from:

Compliance with the Imerys Global IT Charter and all applicable data protection, intellectual property, and cybersecurity regulations is mandatory for all Users.

4Intellectual Property

All media assets, content, software, and materials made available through the Platform are the exclusive property of Imerys S.A. or are used under license. Nothing in these Terms shall be construed as transferring any intellectual property rights to Users.

Users who upload content to the Platform represent and warrant that they hold all necessary rights, licenses, and permissions to do so, and that such content does not infringe any third-party intellectual property right, privacy right, or applicable law. Users grant Imerys a non-exclusive, royalty-free, worldwide license to use, store, and distribute such content for internal business purposes.

5Role-Based Access Control (RBAC)

Access permissions within the Platform are governed by Role-Based Access Control. Each User is assigned a role that determines the features and content they may access:

Users must not attempt to access features, data, or functionality beyond their assigned role. Any unauthorized access attempt will be logged and may result in disciplinary action.

6Monitoring and Audit

Users acknowledge and consent to the fact that their activity on this Platform may be monitored, recorded, and audited by authorized Imerys IT personnel for the purposes of security, compliance, and service quality. All access and activity logs are retained in accordance with the applicable Imerys Records Retention Schedule and the Data Privacy Notice. There is no expectation of privacy with respect to actions performed on this corporate Platform.

7Disclaimer of Warranties and Limitation of Liability

The Platform is provided “as is” for internal corporate use. While Imerys IT strives to maintain high availability and performance, we do not guarantee uninterrupted or error-free access to the Platform. Planned and unplanned maintenance windows may result in temporary unavailability.

To the fullest extent permitted by applicable law, Imerys shall not be liable for any indirect, incidental, or consequential loss arising from the use of or inability to use the Platform, including but not limited to loss of data or productivity.

8Consequences of Breach

Any breach of these Terms may result in the immediate suspension or permanent revocation of Platform access, and may be subject to disciplinary proceedings in accordance with the applicable Imerys HR policies and applicable employment law. In cases involving unlawful conduct, Imerys reserves the right to refer the matter to the relevant law enforcement authorities.

9Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

10Amendments

Imerys reserves the right to amend these Terms at any time. Users will be notified of material changes through the Platform interface. Continued use of the Platform following the publication of any amendment constitutes acceptance of the updated Terms. The effective date displayed at the top of this document reflects the date of the most recent revision.
